1. Agreement and Scope

These Terms of Service ("Terms") govern your access to and use of the letsmes.com website operated by LetsMes Co., Ltd ("LetsMes", "we", "us", or "our").

By accessing or using this website, you agree to these Terms.

These Terms apply to the LetsMes website and do not govern the use of LetsMes software products unless expressly stated otherwise.

Our individual software products may have separate Terms of Service.

If you do not agree with these Terms, please do not use the website.

2. Our Services

LetsMes is a software studio providing services such as:

  • software architecture and technical consulting;
  • software development;
  • software engineering;
  • technology advisory services; and
  • related professional services.

LetsMes does not initiate engineering, consulting, or development work without an executed commercial agreement. All payment schedules, billing terms, invoicing disputes, and project termination protocols are governed exclusively by the applicable MSA or SOW.

2.1 Use of Generative AI in Services

LetsMes may use artificial intelligence and machine learning tools (including but not limited to large language models such as Claude, ChatGPT, or similar services) to assist in consulting, analysis, architecture, development, or other services.

  • Client Responsibility: Client is responsible for reviewing all deliverables (including AI-assisted work) for accuracy, appropriateness, and suitability to Client's specific requirements.
  • IP Indemnity Exclusion: Because generative AI tools leverage open source and third-party data models, LetsMes provides no intellectual property guarantees or indemnification for deliverables built using AI-assisted development tools.
  • No Guarantee: AI-generated content is not guaranteed to be error-free or suitable for critical use cases.
  • Validation Required: Client should independently verify technical recommendations, architecture decisions, and strategic advice.
  • Liability: LetsMes's liability for services rendered with AI assistance is subject to Section 9 (Limitation of Liability).

3. Website Use

You may use this website only for lawful purposes.

You must not:

  • use the website for an unlawful or fraudulent purpose;
  • interfere with or attempt to compromise the security of the website;
  • introduce malicious code, malware, or harmful material;
  • attempt to gain unauthorized access to systems or accounts;
  • scrape, crawl, or otherwise access the website using automated means in a manner that unreasonably burdens or interferes with the website; or
  • submit spam or unlawful content through our contact forms.

We may suspend or restrict access to the website where reasonably necessary to protect our systems, users, or business.

4. Intellectual Property

Unless otherwise stated, the website and its contents, including its:

  • software;
  • design;
  • branding;
  • logos;
  • text;
  • graphics; and
  • other materials

are owned by or licensed to LetsMes and are protected by applicable intellectual-property laws.

You may view and use the website for its intended purpose, but these Terms do not grant you ownership of or any broad license to LetsMes intellectual property.

All rights not expressly granted are reserved.

5. Client Projects and Deliverables

For consulting or development engagements, ownership, licensing, acceptance, delivery, payment, and use of project deliverables will be governed by the applicable MSA, SOW, or other written agreement.

Unless otherwise agreed in writing:

  • LetsMes retains ownership of its pre-existing technology, tools, frameworks, libraries, know-how, methodologies, and reusable components ("Background IP");
  • third-party software remains subject to its applicable license terms; and
  • transfer or licensing of client-specific deliverables is subject to the applicable commercial agreement and payment terms.

6. Confidentiality and Client Information

LetsMes will handle client confidential information in accordance with the applicable NDA, MSA, SOW, DPA, or other written agreement.

Where no separate confidentiality agreement applies, we will use reasonable care and will not knowingly disclose client confidential information except:

  • as necessary to provide agreed services;
  • to authorized service providers or personnel who need the information;
  • where required by law or valid legal process; or
  • with the client's authorization.

Additional confidentiality and data-processing obligations may be set out in the applicable customer agreement.

7. Third-Party Services and Links

The website may contain links to third-party websites or refer to third-party services.

LetsMes does not control and is not responsible for third-party websites, services, content, availability, security, or privacy practices.

Your use of third-party services is subject to their applicable terms and policies.

8. Website Availability and Disclaimer

The website is provided on an "as is" and "as available" basis to the fullest extent permitted by law.

We do not guarantee that the website will:

  • always be available;
  • operate without interruption or errors;
  • be completely secure; or
  • be free from viruses or other harmful components.

We do not provide warranties that are not expressly stated in these Terms or a separate written agreement, except to the extent that applicable law does not permit such exclusion.

Information published on the website may change without notice and should not be relied upon as a substitute for professional or legal advice.

9. Limitation of Liability

To the fullest extent permitted by applicable law, LetsMes will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, or goodwill arising from or related to your use of the website.

Our aggregate liability arising from or relating to the website or consulting services will not exceed the greater of (a) 100% of fees paid by Client in the twelve months preceding the event giving rise to the claim, or (b) USD 10,000, except for liability that cannot be excluded or limited by applicable law (including gross negligence, willful misconduct, or breach of confidentiality).

This limitation applies only to the website and does not replace or modify any liability provisions agreed in a separate MSA, SOW, or other customer agreement.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

10. Indemnification

To the extent permitted by applicable law, you agree to be responsible for claims arising from your unlawful use of the website, your violation of these Terms, or your infringement of another person's rights.

This section does not apply to the extent a claim results from LetsMes' own breach of applicable law or contractual obligations.

11. Privacy

Our collection and use of personal data is governed by our Privacy Policy:

By using the website, you acknowledge that you have read our Privacy Policy.

12. Changes to the Website or Terms

We may modify, suspend, or discontinue any part of the website at any time.

We may also update these Terms from time to time.

Changes become effective when posted on this page unless a different effective date is stated.

Your continued use of the website after an updated version is posted constitutes acceptance of the updated Terms to the extent permitted by applicable law.

13. Governing Law and Disputes

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-law principles.

Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Vietnam International Arbitration Centre (VIAC) in accordance with its Arbitration Rules. The place of arbitration shall be Ho Chi Minh City, and the proceedings shall be conducted in English.

For consulting or software-development engagements, the governing-law and dispute-resolution provisions of the applicable MSA, SOW, or other written agreement will control.

14. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

15. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.
